Job Summary: The General Counsel will play a critical role in providing legal support and guidance on project finance transactions, with a focus on renewable energy projects. This position involves working closely with cross-functional teams, including finance, development, and operations, to ensure successful project financing and execution. The ideal candidate will have extensive experience in project finance, strong legal acumen, and a passion for renewable energy.
Key Responsibilities:
- Project Finance Transactions:
- Lead and manage legal aspects of project finance transactions, including drafting, reviewing, and negotiating financing agreements, term sheets, and related documents.
- Provide legal support for the structuring, negotiation, and closing of project financing arrangements, including debt and equity financing.
- Due Diligence:
- Conduct and coordinate legal due diligence for project finance transactions, identifying and mitigating legal risks and issues.
- Collaborate with internal and external stakeholders to ensure thorough and efficient due diligence processes.
- Contract Management:
- Draft, review, and negotiate various project-related agreements, including power purchase agreements, construction contracts, supply agreements, and operation and maintenance agreements.
- Ensure all contracts comply with legal, regulatory, and company standards.
- Regulatory Compliance:
- Monitor and interpret relevant laws, regulations, and policies affecting renewable energy projects and project finance.
- Advise internal teams on regulatory compliance matters and implement strategies to mitigate legal risks.
- Cross-Functional Collaboration:
- Collaborate with finance, development, and operations teams to provide legal guidance and support throughout the project lifecycle.
- Assist in the development and implementation of best practices for project finance and legal processes.
- Risk Management:
- Identify and assess legal risks associated with project finance transactions and develop strategies to mitigate those risks.
- Provide proactive legal advice to senior management on potential legal issues and risk mitigation strategies.
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the bar in at least one state.
- Minimum of 5-7 years of experience in project finance, with a focus on renewable energy projects preferred.
- Strong understanding of project finance structures, documentation, and market practices.
- Excellent drafting, negotiation, and communication skills.
- Ability to manage multiple projects and priorities in a fast-paced environment.
- Strong analytical and problem-solving abilities.
- Demonstrated ability to work collaboratively with cross-functional teams.
